Our client, a Belgian investment company, is looking for a Legal Counsel to strengthen its team in Brussels.

Description

As a Legal Counsel, you work mainly in corporate law, financial law, economic law and contract law, in both national and international transactions, private equity transactions, mergers and acquisitions, investments and financial regulations.

Your main tasks are:

• You collaborate in the preparation and monitoring of investment files both nationally and internationally and you provide legal support for the drafting and / or revision of contracts, M&A documentation and other legal documents related to it, such as investment and shareholder contracts, loans and guarantee contracts, termsheets and letters of intent, various minutes and reports, confidentiality contracts and various commercial contracts.
• You provide legal support during due diligence and negotiations of legal documents in the context of investment projects and financing contracts.
• When outside lawyers are involved, you ensure coordination and contact with outside lawyers.
• You follow the developments of laws and regulations that relate to the company and its subsidiaries. You advise on this.
• You collaborate in the establishment of dashboards, models and other documents. You work closely with your colleagues.
• You provide your support in terms of corporate legal aspects and are involved in the drafting, updating and / or review of corporate documents (minutes, reports, notarial deed, charters, internal regulations and other related documents).
• You join a team of Legal Counsels. You work with the other internal teams of the company (investment managers, financial controller and analyst, etc.) and also with external stakeholders (lawyers, notaries, supervisory authorities, etc.).

Profile

Legal Counsel - corporate & financial law :

• You have a Master in Law and have a good knowledge of corporate and financial law. A complementary degree in economic and / or financial law is certainly relevant.
• You have 4 to 8 years of professional experience as a lawyer or a legal counsel in corporate and financial law.
• You have experience focused on the legal aspects of international investment and financing transactions.
• You have excellent analytical and synthesis skills and have the ability to describe and summarize in writing the various information you are faced with.
• You have excellent knowledge of Dutch. You also have a very good knowledge of French and English, both spoken and written. Knowledge of another language is an advantage.
• You work independently but also have a strong team spirit.
• You are pragmatic, proactive and solution oriented.
• You like to learn, are flexible and are open to change.
